Terms of Service

1. Acceptance of these Terms
By creating an account, integrating with our API, or otherwise using Prudra's wallets, payments, or infrastructure services (the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are agreeing on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.
2. Description of the Services
Prudra provides managed wallet infrastructure, payment routing, cross-chain token transfers, and fiat withdrawal for businesses and the AI agents they operate. The Services are provided via API, SDKs, and a dashboard, and may change, expand, or be deprecated over time.
3. Accounts and Eligibility
You must provide accurate registration information and keep it current. You are responsible for maintaining the security of your account credentials and API keys, and for all activity that occurs under your account, including activity initiated by agents you operate.
4. Wallets, Custody, and Digital Assets
Where Prudra holds or facilitates the transfer of digital assets on your behalf, it does so subject to the custody and security terms disclosed to you at account setup. Digital assets are volatile and transfers on public networks are generally irreversible once confirmed. You are responsible for verifying transaction details before submission.
5. Acceptable Use
You may not use the Services to facilitate fraud, money laundering, sanctions evasion, or any activity that violates applicable law. Prudra may suspend or terminate access where it reasonably believes these Terms or applicable law have been violated.
6. Fees and Payment
Fees for the Services are set out in your order form, pricing page, or dashboard, and are subject to change with notice. Fees are exclusive of applicable taxes unless stated otherwise.
7. Third-Party Networks and Services
The Services interact with third-party blockchain networks, payment rails, and financial institutions that Prudra does not control. Prudra is not responsible for outages, delays, or errors caused by those third parties.
8. Intellectual Property
Prudra retains all rights, title, and interest in the Services, including all software, documentation, and trademarks. These Terms do not grant you any rights to Prudra's intellectual property except the limited right to use the Services as permitted here.
9. Disclaimers and Limitation of Liability
The Services are provided "as is" without warranties of any kind, express or implied. To the maximum extent permitted by law, Prudra will not be liable for indirect, incidental, or consequential damages, or for any loss of funds resulting from third-party network failures, user error, or events outside Prudra's reasonable control.
10. Indemnification
You agree to indemnify and hold Prudra harmless from claims arising out of your use of the Services in violation of these Terms or applicable law.
11. Termination
Either party may terminate access to the Services as set out in your order form or, absent one, with written notice. Sections of these Terms that by their nature should survive termination will survive.
12. Changes to these Terms
Prudra may update these Terms from time to time. Material changes will be communicated through the dashboard or by email, and continued use of the Services after changes take effect constitutes acceptance.
13. Governing Law
These Terms are governed by the laws of the jurisdiction specified in your order form, without regard to conflict-of-law principles.
